Job :

Ensure the legal security of the Group's activities, support the various entities in their projects, and guarantee the compliance of acts, decisions, and operations with applicable legal, regulatory, and statutory provisions. Participate in the governance of the Group's companies and structures, as well as in the management of legal documents and the protection of intangible assets.

Main Responsibilities

1. Legal advice and assistance

  • Ensure legal and regulatory watch in the Group's business areas
  • Advise operational departments on legal issues encountered
  • Analyze legal risks related to projects and formulate recommendations
  • Participate in drafting legal notes, consultations, and opinions

2. Contract management

  • Draft, analyze, and secure contracts and agreements
  • Ensure the follow-up of the contract lifecycle
  • Ensure compliance of contractual commitments
  • Participate in dispute resolution and litigation handling in coordination with external counsel

3. Governance and legal secretarial services

  • Prepare and organize meetings of governance bodies (General Assemblies, Boards of Directors, Supervisory Boards, Management Boards, Specialized Committees, etc.)
  • Draft minutes, reports, resolutions, and other corporate documents
  • Ensure follow-up of corporate mandates and legal obligations of directors
  • Carry out legal and administrative formalities with competent administrations and organizations
  • Ensure compliance with governance rules and statutory provisions

4. Company management and corporate operations

  • Ensure legal follow-up of subsidiaries and Group entities
  • Prepare and monitor routine and exceptional legal operations: company formations, statutory modifications, appointments, mandate renewals, restructurings, capital increases, etc.
  • Maintain legal registers and corporate documentation

5. Legal document management and archives

  • Organize, classify, and ensure the conservation of legal documents (physical and digital)
  • Ensure the updating and reliability of legal document databases
  • Participate in digitalization projects for legal documents and processes
  • Ensure traceability and accessibility of strategic legal documents

6. Intellectual property

  • Ensure follow-up of the trademark portfolio and other intellectual property rights
  • Coordinate formalities for filing, renewal, and protection of trademarks

7. Personal data protection

  • Ensure compliance of personal data processing with applicable legal and regulatory provisions, particularly law No. 09-08
  • Support Group entities in complying with personal data protection regulations
  • Ensure follow-up of formalities and declarations with the CNDP
  • Participate in the development and implementation of internal procedures relating to personal data protection
  • Raise awareness and advise stakeholders on obligations related to personal data protection
  • Identify and contribute to managing legal risks related to the processing of personal data

8. Insurance management

  • Ensure administrative and legal follow-up of the Group's insurance portfolio
  • Participate in analyzing the insurance coverage needs of the Group's various entities
  • Coordinate relations with brokers, insurance companies, and other stakeholders
  • Ensure follow-up of insurance policy renewals and verify the adequacy of coverage
  • Participate in the management and follow-up of claims in coordination with relevant stakeholders
  • Contribute to the identification and coverage of risks that could affect the Group's activities and assets.

Required profile :

Education

  • Master's degree (Bac+5) in business law, corporate law, or equivalent
  • Experience in governance, compliance, or corporate law would be an asset

Experience

  • Minimum 5 to 8 years of experience in a legal department, law firm, or structured group

Technical Skills

  • Proficiency in business law
  • Proficiency in legal and contractual drafting
  • Good knowledge of legal formalities and legal secretarial services
  • Knowledge of compliance and legal risk management issues
  • Proficiency in office tools and document management solutions
  • Knowledge of regulations regarding personal data protection
  • Knowledge of insurance management and risk coverage mechanisms
